Terms of Service

Last updated: November 2, 2026

These Terms of Service govern your access to and use of the HLDForge architecture platform, APIs, and web services. Please read them carefully before using our tools.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (whether individually or on behalf of an entity you represent) and HLDForge ("we", "us", or "our"), governing your access to and use of the HLDForge web application, architecture canvas, APIs, and associated services (collectively, the "Service").

By creating an account, accessing a board or workspace, or utilizing any portion of the Service, you signify your irrevocable acceptance of these Terms. If you are entering into these Terms on behalf of an organization, you represent that you possess the full legal authority to bind that organization to these Terms.

If you do not agree to all terms and conditions set forth herein, you must immediately discontinue all use of the Service.

2. Initial Phase & Service Evolution

You acknowledge and agree that HLDForge is in an active commercial launch phase. The platform, features, component libraries, integrations, and AI models undergo continuous enhancement and deployment.

We reserve the right at our sole discretion to modify, optimize, temporarily suspend, or discontinue any aspect of the Service at any time. While we endeavor to maintain high reliability and availability, we make no representation that the Service will be uninterrupted, error-free, or entirely bug-free during initial release phases.

No specific financial Service Level Agreement (SLA) uptime guarantee applies to standard self-serve subscription plans unless explicitly executed under a separate signed Enterprise Master Services Agreement (MSA).

3. User Accounts & Workspace Governance

You must provide accurate, current, and complete registration information and keep your credentials secure. You are exclusively responsible for all activities and transactions executed under your account credentials and workspace.

Workspace administrators control collaborator access, member invitations, role permissions, and diagram sharing settings. You agree to immediately notify HLDForge at security@hldforge.com if you suspect unauthorized access or a security breach involving your account.

We reserve the right to suspend or terminate accounts that contain false contact information or that violate our Acceptable Use policy.

4. Intellectual Property & Content Ownership

Your Content Remains Yours: You retain 100% intellectual property ownership of all architecture diagrams, nodes, flowcharts, specifications, annotations, comments, and documentation that you create or import into HLDForge ("Customer Content").

Limited Service License: You grant HLDForge a worldwide, non-exclusive, royalty-free, limited license solely to host, store, cache, replicate, transmit, and display your Customer Content to the extent strictly necessary to provide, maintain, and support the Service for you and your authorized team members.

HLDForge Intellectual Property: HLDForge, its logos, software code, user interface designs, component icons, algorithms, documentation, and trade secrets are the exclusive intellectual property of HLDForge and its licensors. You may not copy, reverse engineer, decompile, or create derivative works from the platform without our express prior written permission.

Customer Feedback: If you submit feedback, suggestions, or feature requests, we may incorporate them into future releases of the Service without any financial obligation or restriction to you.

5. Acceptable Use Policy

You agree to use the Service in compliance with all applicable local, national, and international laws. You agree NOT to:

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service or its underlying architecture engines.

• Use automated bots, scrapers, crawlers, or extraction tools to harvest data, diagram libraries, or proprietary assets from the Service.

• Interfere with, disrupt, or place an unreasonable or disproportionately large load on our servers, networks, or infrastructure.

• Upload, post, or transmit viruses, worms, malware, or any code designed to disrupt, damage, or limit the functioning of computer software or hardware.

• Use the Service to design, deploy, or assist in the creation of unlawful systems, malicious exploits, or unauthorized cyber-attack tooling.

• Systematically extract architecture models or AI outputs to train, benchmark, or develop a competing architecture diagramming software or foundation model.

6. AI Features & Professional Engineering Disclaimer

HLDForge provides automated artificial intelligence features (including ArchitectAI) to assist in diagram synthesis, component discovery, and structural review. You understand and acknowledge that AI outputs are generated algorithmically and may occasionally produce incomplete, speculative, or inaccurate architecture representations.

IMPORTANT ENGINEERING DISCLAIMER: HLDForge is a visual modeling, brainstorming, and documentation platform. It DOES NOT provide certified architectural, structural, civil, mission-critical infrastructure, legal, regulatory compliance, or financial engineering advice.

You are solely and exclusively responsible for verifying, validating, testing, and approving all architecture designs, latency assumptions, cloud infrastructure costs, and security models prior to implementing them in any production environment or real-world deployment.

To the fullest extent permitted by law, HLDForge disclaims all liability for production outages, data loss, security vulnerabilities, cloud provider billing overruns, or system failures resulting from the implementation of diagrams or recommendations created or analyzed using the Service.

7. Subscriptions, Billing & Cancellations

Subscription Plans: Certain features are provided under free access tiers, while advanced capabilities require paid monthly or annual subscriptions. Paid subscriptions are billed in advance on a recurring schedule.

Billing & Auto-Renewal: By subscribing to a paid plan, you authorize our third-party billing processor to automatically charge your designated payment method at the beginning of each billing cycle until you cancel.

Cancellation: You may cancel your subscription at any time directly through your in-app workspace billing settings. Upon cancellation, your workspace retains access to paid features until the conclusion of the current prepaid billing period. Cancellation stops future recurring charges.

Refund Policy: Except where expressly mandated by applicable consumer protection laws, all subscription fees, add-on credits, and charges are non-refundable. We do not provide prorated refunds for partial billing cycles or unused subscription periods.

Price Adjustments: We reserve the right to revise our pricing with at least thirty (30) days advance notice to active subscribers.

8. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED STRICTLY ON AN "AS IS" AND "AS AVAILABLE" BASIS. HLDFORGE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE MAKE NO WARRANTY THAT (A) THE SERVICE WILL MEET YOUR SPECIFIC ARCHITECTURAL REQUIREMENTS, (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (C) RESULTS DERIVED FROM THE USE OF THE SERVICE (INCLUDING AI RECOMMENDATIONS) WILL BE ACCURATE OR RELIABLE, OR (D) DEFECTS WILL BE IMMEDIATELY CORRECTED.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HLDFORGE, ITS FOUNDERS, DIRECTORS, EMPLOYEES, CONTRACTORS, PARTNERS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, GOODWILL, WORK STOPPAGE, SYSTEM DOWNTIME, OR HARDWARE MALFUNCTION), REGARDLESS OF THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL HLDFORGE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO HLDFORGE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED US DOLLARS ($100.00 USD).

THE EXISTENCE OF MULTIPLE CLAIMS WILL NOT ENLARGE THIS LIMIT. YOU ACKNOWLEDGE THAT THIS LIMITATION REPRESENTS A FUNDAMENTAL BASIS OF THE BARGAIN BETWEEN THE PARTIES.

10. Indemnification

You agree to defend, indemnify, and hold harmless HLDForge, its affiliates, directors, officers, employees, and agents from and against any and all third-party claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your Customer Content; (b) your violation of these Terms; or (c) your misuse of the Service or violation of any third-party intellectual property or privacy rights.

11. Termination

You may terminate these Terms at any time by closing your account and ceasing all use of the Service.

We may suspend or terminate your account or access to the Service immediately and without prior notice if you materially breach any provision of these Terms, engage in unlawful or abusive conduct, or if necessary to defend the security and integrity of the platform.

Upon termination, your right to access the Service terminates immediately. Sections 4, 6, 8, 9, 10, and 12 shall survive any termination of these Terms.

12. Governing Law, Dispute Resolution & Class Action Waiver

Governing Law: These Terms and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Informal Dispute Resolution: Before initiating any formal legal action, you and HLDForge agree to attempt in good faith to resolve any dispute informally by sending written notification of the dispute to legal@hldforge.com. The parties shall negotiate in good faith for at least thirty (30) calendar days from receipt of the notice.

Class Action Waiver: YOU AND HLDFORGE AGREE THAT ALL CLAIMS AND DISPUTES MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

13. Miscellaneous Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the complete and exclusive agreement between you and HLDForge regarding your use of the Service.

Severability: If any provision of these Terms is determined by a court of competent jurisdiction to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it valid, and all remaining provisions shall continue in full force and effect.

No Waiver: Our failure or delay in exercising any right or remedy under these Terms shall not operate as a waiver thereof.
